Terms of Service

These Terms of Service ("Terms") are an agreement between you and MartialStack ("us", "we", or "our") that governs your use of our website, applications, and services (the "Services"). By creating an account or using the Services, you agree to these Terms. If you do not agree, you must not use the Services.

We may update these Terms from time to time. If we make material changes, we will revise the "Last Updated" date at the top of this page. All changes are effective when posted. If you keep using the Services after a change, you are agreeing to the updated Terms. If you do not agree, you must stop using the Services.

1. Who Can Use MartialStack

You must be at least 13 years old to create an account. Children under 13 may only be given access by their authorized legal guardian, and only through the tools a studio provides.
If you are using the Services on behalf of a martial arts studio or other organization, you confirm that you are authorized to accept these Terms for that organization.
You are responsible for keeping your login credentials secure and for all activity that happens under your account. Let us know right away if you believe your account has been used without your permission.

2. Your Account

You sign in through a third-party login provider (such as Google or Apple). You are responsible for maintaining access to that provider.
The information in your account must be accurate and kept up to date.
We may suspend or close accounts that violate these Terms, that create risk for other users, or that we are required to act on by law.

3. Studios and Their Data

MartialStack is a tool that studios use to run their business. If you are a student, parent, guardian, or staff member of a studio:

The studio decides what student information to collect and how long to keep it, within the limits set by our Privacy Policy.
Studio staff can view, edit, and export the records they are authorized to access, such as attendance, belt promotions, and bout records.
We are not responsible for how an individual studio runs its programs, communicates with its members, or handles the records it controls. Disputes about classes, fees, promotions, or membership are between you and the studio.

4. Acceptable Use

When using the Services, you agree not to:

Break the law or use the Services to help someone else break the law.
Access, tamper with, or try to access accounts, data, or systems that you are not authorized to use.
Upload or send content that is harmful, abusive, harassing, or that you do not have the right to share.
Interfere with or disrupt the Services, including by introducing malware, overloading our systems, or scraping data without permission.
Copy, resell, or repackage the Services without our written permission.
Use the Services to send spam or unsolicited messages.

5. Payments

Some features of the Services require a paid subscription. Pricing and billing terms are described when you sign up or as otherwise agreed in a contract with your studio.
Studios may use a third-party payment provider (such as Helcim) to collect payments from their members. Those payments are handled by the provider under their own terms, and MartialStack does not store full payment card details.
Unless stated otherwise, fees are non-refundable except where required by law.

6. Your Content

You keep ownership of the content and records you create or upload, such as messages and student information.
You give us permission to store, process, and display that content as needed to run the Services for you and your studio.
You are responsible for making sure you have the right to share any content you put on the platform.

7. Our Content and Intellectual Property

MartialStack, including its software, design, and branding, belongs to us and is protected by intellectual property laws.
We grant you a limited, non-exclusive, non-transferable right to use the Services while these Terms are in effect. This does not give you ownership of the Services or the right to copy or modify them.

8. Service Availability

We work to keep the Services reliable, but we do not promise they will always be available, uninterrupted, or error-free.
We may change, add, or remove features over time. We may also perform maintenance that temporarily limits access.

9. Third-Party Services

The Services rely on and connect to third-party providers, such as login providers, payment processors, hosting, and monitoring tools. We are not responsible for those providers or their services, and your use of them may be subject to their own terms.

10. Disclaimers

The Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, to the fullest extent allowed by law. We do not warrant that the Services will meet your needs or that any records or results will be accurate, complete, or reliable.

11. Limitation of Liability

To the fullest extent allowed by law, MartialStack will not be liable for any indirect, incidental, special, or consequential damages, or for lost profits, data, or goodwill, arising from your use of the Services. Our total liability for any claim relating to the Services will not exceed the amount you paid us for the Services in the 12 months before the claim.

12. Termination

You may stop using the Services and close your account at any time.
We may suspend or end your access if you violate these Terms, if your use creates risk for others, or if we are required to by law.
When your access ends, the sections of these Terms that should reasonably survive (such as intellectual property, disclaimers, and limitation of liability) will remain in effect. Data handling after termination follows our Privacy Policy.

13. Governing Law

These Terms are governed by the laws of the United States and the state in which MartialStack operates, without regard to conflict-of-law rules. Any disputes will be handled in the courts located there, unless applicable law requires otherwise.
